Terms of Service

1. Who we are
These Terms of Service ("Terms") govern your use of OpenX24.com and any services purchased from Servolia LLC, a limited liability company registered in the State of Wyoming, USA, which trades as OpenX24 ("OpenX24", "we", "us"). Servolia LLC is the contracting party for every order placed through this site. By purchasing a service or using this site, you ("Client", "you") agree to these Terms.
2. Services
OpenX24 provides done-for-you digital services, including but not limited to:
- Shopify store build and redesign services ("Starter Store Build", "Growth Store Build")
- Ongoing subscription services ("Run Core", "Run Pro", "Run Scale"), which include AI chatbot setup and operation, CRM setup and operation, maintenance, and a stated allowance of change-work hours each month
Exact scope, deliverables, and delivery timeframes for each plan are described on our Pricing page at the time of purchase. Any custom scope agreed outside of a listed plan will be confirmed in writing (email) before work begins.
2a. Delivery guarantee
The promise. We will deliver your setup live within the timeframe published for that product on our Pricing page — currently 24 hours for a Starter Store Build, the Lead Engine or the AI Assistant, and 48 hours for a Growth Store Build or the Growth Stack.
When the clock starts. The timeframe begins when we have received everything we need from you and have confirmed in writing that we have it. That means: your products or services with prices, your branding (or your instruction to proceed without it), the access we have asked for, and the factual information the AI assistant is permitted to state. It does not begin at the moment of payment.
The remedy if we miss it. If we deliver late, you may claim, at your election: (a) a full refund of the setup fee you paid; or (b) where your setup fee was waived under clause 4b, one month of your Run subscription free of charge. Claim it by emailing hello@OpenX24.com within 14 days of delivery. This remedy is in addition to your statutory rights and is our entire liability for late delivery.
What pauses the clock. The clock is paused for any period in which we are waiting on you — for information, assets, access, an approval, or an answer to a question we have asked. It is also paused during a documented outage of a third-party service we depend on (for example Shopify, Cloudflare, Vercel or a payment provider), and where you change or add to the agreed scope after work has begun. We will tell you in writing when the clock pauses and when it restarts.
The guarantee applies to the setup we agreed. It does not apply to work outside that scope, to revisions requested after delivery, or to anything dependent on a third party approving your account.
3. Client responsibilities
To deliver your project on time, we rely on you to promptly provide: product information, branding assets, store access (or a new Shopify trial), and timely feedback during revision rounds. Delivery timeframes stated on the Pricing page start once we have received everything required from you, not from the date of payment.
4. Payment
All payments are processed securely through Stripe by Servolia LLC, the contracting party named in clause 1. Because Servolia LLC takes the payment, your bank or card statement will show Servolia, not OpenX24 — please expect that name so you do not mistake the charge for one you did not authorise. OpenX24 does not store your card details. Prices are listed in GBP unless otherwise stated. Plans marked "one-time" are billed once. Subscription plans ("Run" plans) are billed monthly or annually in advance and renew automatically until cancelled in accordance with clause 4a.
Your subscription price is fixed for as long as your subscription remains active and uninterrupted. If we change our published prices, existing subscribers keep the price they signed up at.
4a. Run subscriptions: term, cancellation and included hours
Minimum term. Where a Run plan is purchased on its own, it may be cancelled at any time with 30 days' written notice, effective at the end of the current billing period. Where a Run plan is purchased together with a waived build fee (see clause 4b), a minimum term of six (6) monthly billing periods applies.
Included hours. Each Run plan includes a stated allowance of change-work hours per calendar month. Unused hours expire at the end of each calendar month and do not carry forward. Work requested beyond the included allowance is quoted and confirmed in writing before it begins, and is charged at the hourly rate published on the Pricing page.
Usage allowances. Each Run plan includes stated monthly allowances for AI chatbot replies and CRM contacts. Usage beyond those allowances is charged at the overage rates published on the Pricing page, or you may move to a higher plan.
Cancellation. On cancellation, service continues to the end of the period already paid for. We will provide an export of your CRM data in a common format (CSV) on request, at no charge, for 60 days after cancellation.
4b. Free build offer (waived build fee)
We may offer a Shopify store build with the build fee waived, on condition that you subscribe to a qualifying Run plan for a minimum term of six (6) monthly billing periods. This is described on our Pricing page as getting the build free.
If you cancel, downgrade below the qualifying plan, or your subscription lapses for non-payment before the end of that six-period minimum term, the waived build fee becomes immediately payable in full. The waived amount is the price published for that build on the Pricing page at the time of purchase (currently £249 for Starter and £449 for Growth), and will be stated on your order confirmation.
The waived build fee is not payable where: (a) you have completed the six-period minimum term; (b) OpenX24 terminates the agreement other than for your breach or non-payment; or (c) OpenX24 has materially failed to deliver the build as specified.
Nothing in this clause affects your statutory rights, including any right to cancel a distance contract during the applicable cooling-off period.
5. Revisions
Each plan includes a set number of revision rounds as listed on the Pricing page. Additional revisions or scope beyond what was agreed will be quoted separately before any extra work begins.
6. Intellectual property and licence
What you own. Your content is yours: your branding, logos, copy, images, product data, customer records and any material you supply to us. You also own your Shopify store configuration where we have built one for you. Your data is yours at all times and we will export it to you on request (see clause 4a).
What we own. OpenX24 retains all intellectual property rights in its own software, including the CRM, the AI assistant, their source code, templates, prompts, data models, integrations and any improvements or derivative works, whether created before or during your engagement. Setup and customisation work does not transfer ownership of that software to you, and configuring it for your business does not create a work for hire.
Your licence. For as long as your subscription is active and paid, we grant you a non-exclusive, non-transferable, non-sublicensable licence to use the OpenX24 software as installed and configured for your business, for your own internal business purposes. You may not copy, resell, sublicense, distribute, reverse-engineer or attempt to extract the source code, nor use it to build a competing product.
When the subscription ends. The licence ends when your subscription ends. We will export your data to a common format (CSV) free of charge on request for 60 days afterwards, and you keep everything listed under "What you own" above. Access to the software itself stops.
Bespoke work. Where you pay separately for custom development, you receive the same licence to use it. If you require ownership or an exclusivity period on custom work, that must be agreed in writing and priced separately before the work begins.
Third-party components. Shopify, hosting providers, AI model providers, apps and themes remain subject to their own licences. They are not owned by OpenX24 and are not transferred to you beyond your right to use them as configured.
7. No guarantee of results
OpenX24 builds and configures the store, chatbot, or CRM as specified in your plan. We do not guarantee sales, traffic, conversion rates, or any specific business outcome, as these depend on factors outside our control (your product, market, advertising, pricing, and operations).
8. Cancellations and refunds
Cancellations and refunds are governed by our separate Refund Policy, which forms part of these Terms.
9. Limitation of liability
To the maximum extent permitted by law, OpenX24's total liability for any claim arising from these Terms or the services provided is limited to the amount paid by you for the specific service giving rise to the claim. OpenX24 is not liable for indirect, incidental, or consequential damages, including lost profits or lost sales.
10. Termination
Either party may terminate an ongoing engagement with written notice. Fees for work already completed are non-refundable per our Refund Policy. Recurring hosting/maintenance services can be cancelled at any time with 14 days' notice; no further monthly fees will be charged after the notice period ends.
11. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of Wyoming, USA.
12. Changes to these Terms
We may update these Terms from time to time. Continued use of our site or services after an update constitutes acceptance of the revised Terms.
