Terms of Service

1. Who we are
These Terms of Service ("Terms") govern your use of OpenX24.com and any services purchased from Servolia LLC, a limited liability company registered in the State of Wyoming, USA, which trades as OpenX24 ("OpenX24", "we", "us"). OpenX24 is a trading name of Servolia LLC, a Wyoming limited liability company (filing ID 2026-002017123), whose registered address is 30 N Gould St Ste R, Sheridan, WY 82801, USA. Servolia LLC is the contracting party for every order placed through this site. By purchasing a service or using this site, you ("Client", "you") agree to these Terms.
1a. Business customers only
OpenX24 sells to businesses only. By buying you confirm you are acting for the purposes of your trade, business, craft or profession, not as a consumer. Checkout asks you to confirm you are buying for your business. If you are buying for yourself rather than for a business, please do not place an order; email hello@openx24.com instead.
2. Services
OpenX24 provides done-for-you digital services, including but not limited to:
- Shopify store build and redesign services ("Starter Store Build", "Growth Store Build")
- Ongoing subscription services ("Run Core", "Run Pro", "Run Scale"), which include AI chatbot setup and operation, CRM setup and operation, maintenance, and a stated allowance of change-work hours each month
- Wholesale services on a Shopify store you already operate: a written readiness report ("Wholesale Readiness Check") and the configuration of Shopify's own B2B features — company accounts, catalogs, payment terms and related settings — in your Shopify admin ("Wholesale Setup"), and the configuration of credit limits, balances and checkout validation for your trade accounts ("Credit Control"). These use Shopify's features under your Shopify plan; we do not supply software of our own for them, and clause 6 applies only where you also subscribe to a Run plan. Credit Control enforces the limits you give us at the point of checkout; it is a control you configure, not a credit reference, a guarantee of payment, or advice on whether to extend credit to anyone, and the decision to trade with any customer remains yours
- Analytics and conversion-tracking services on a store you already operate: a written report on whether your purchase tracking survived Shopify's removal of Additional Scripts on 26 August 2026 ("Checkout Tracking Check"), and the rebuilding of that tracking using Shopify's current customer-events and channel-app methods ("Checkout Tracking Rescue"), or its first installation on a store that never had it ("Tracking Setup"). We report what your ad platforms and store actually record. We cannot recover data for any period in which tracking was not running — those events are gone from the platforms that would have held them — and we do not control whether Meta, Google or any other platform accepts, attributes or retains what is sent to them
- Moving an existing shop to Shopify ("Migration to Shopify"): products, customers and order history imported from your current platform within the limits published on the Pricing page, your domain moved and your old addresses redirected. We move what your current platform lets us export; we do not control how quickly search engines re-index a moved site, and your old platform's own subscription and its cancellation remain between you and that platform
- Local search services for any business ("SEO Audit", "Local SEO Setup", "Local SEO Care"): a written audit, the completion and verification of your Google Business Profile with the related pages and listings, and its monthly upkeep. The profile, its reviews and its listings are yours and remain in your name; we act as a manager you can remove at any time. Google decides verification, ranking and what it shows, and we do not guarantee a position, a review outcome or a volume of enquiries (clause 7 applies)
- A mailbox on your own domain ("Email on your domain"): the creation and connection of a professional mailbox with the mailbox provider of our choice and the setting of the records that authenticate it. The mailbox account is opened in your name and its ongoing fee is payable by you to the provider under the provider's own terms
- Performance work on your store ("Speed Pass"): optimisation of images, apps, scripts, fonts and theme code, measured before and after on Google's PageSpeed. Scores are Google's measurement at the moment of testing and can move with content, apps or Google's own changes after handover
Exact scope, deliverables, and delivery timeframes for each plan are described on our Pricing page at the time of purchase. Any custom scope agreed outside of a listed plan will be confirmed in writing (email) before work begins.
2a. Delivery commitment
The promise. We will deliver your setup live within the timeframe published for that product on our Pricing page — currently 1 business day for the AI Assistant, a Shopify Fix, a Checkout Tracking Check, an SEO Audit or Email on your domain; 2 business days for a Starter Store Build, a Wholesale Readiness Check, a Speed Pass or a Tracking Setup; 3 business days for the Lead Engine (CRM), Credit Control, a Checkout Tracking Rescue, a Local SEO Setup or Authority Foundations; and 5 business days for a Growth Store Build, the Growth Stack, a Wholesale Setup or a Migration to Shopify. Business days are Monday to Friday, excluding UK public holidays.
When the clock starts. The timeframe begins when we have received everything we need from you and have confirmed in writing that we have it. That means: your products or services with prices, your branding (or your instruction to proceed without it), the access we have asked for, and the factual information the AI assistant is permitted to state. It does not begin at the moment of payment.
If we miss it. We will tell you in writing as soon as we know, with the reason and a revised date. We keep working at no additional charge until your setup is delivered — a missed date never becomes a larger invoice. We do not offer an automatic refund for late delivery. Nothing in this clause affects your statutory rights, including your right to have a service carried out within a reasonable time, and if you believe a delay has gone beyond reasonable, email hello@openx24.com and we will deal with it.
What pauses the clock. The clock is paused for any period in which we are waiting on you — for information, assets, access, an approval, or an answer to a question we have asked. It is also paused during a documented outage of a third-party service we depend on (for example Shopify, Cloudflare, Vercel or a payment provider), and where you change or add to the agreed scope after work has begun. We will tell you in writing when the clock pauses and when it restarts.
This commitment applies to the setup we agreed. It does not apply to work outside that scope, to revisions requested after delivery, or to anything dependent on a third party approving your account.
2b. Taking-orders guarantee and Launch Week Watch (store builds)
The guarantee. For a Starter Store Build, a Growth Store Build or a Migration to Shopify, “handed over” means your store can take a real order: a customer can add a product to the basket, pay at checkout with the payment methods we set up, and receive the order confirmation, with the shipping rates we configured applied. If at handover it cannot, we keep working at no charge until it can. This covers what we built and configured. It does not cover Shopify or a payment provider declining or delaying approval of your account, or changes made to the store by anyone other than us after handover.
Launch Week Watch. For 7 days after handover we check the first orders that come through end to end — payment, confirmation email and the order in your Shopify admin — and fix at no charge anything in what we built that stops an order going through. If an order looks wrong to you, email hello@openx24.com and we look at it within one business day. This is about the store working, not about sales: clause 7 still applies.
3. Client responsibilities
To deliver your project on time, we rely on you to promptly provide: product information, branding assets, store access (or a new Shopify trial), and timely feedback during revision rounds. Delivery timeframes stated on the Pricing page start once we have received everything required from you, not from the date of payment.
4. Payment
All payments are processed securely through Stripe by Servolia LLC, the contracting party named in clause 1, trading as OpenX24. Charges appear on your statement as OPENX24. OpenX24 does not store your card details. Prices are listed in GBP unless otherwise stated. Plans marked "one-time" are billed once. Subscription plans (the "Run" plans, Local SEO Care and Authority Building) are billed monthly or annually in advance and renew automatically until cancelled in accordance with clause 4a.
Your subscription price is fixed for as long as your subscription remains active and uninterrupted. If we change our published prices, existing subscribers keep the price they signed up at.
A Run plan added with a store build. When you add a Run plan at the same time as a store build or a migration, the build is charged at once and the plan begins with a trial of the number of days stated on the payment page (currently 14). No plan charge is taken during the trial, and cancelling from your dashboard before it ends costs nothing. After the trial the plan is billed and may be cancelled exactly as in clause 4a.
Referral credit. Every client's dashboard carries a personal referral code. When a business that has not bought from us before pays for its first one-time setup of £349 or more using your code, that business receives £50 off that setup and you receive a £50 credit — applied to your next invoice where you have an active subscription, otherwise issued as a single-use £50 code for your next order. The credit has no cash value, is not paid out in money, and is issued at the moment the referred business's first payment succeeds; if that payment is refunded or charged back, the credit is withdrawn. Codes may be used for any number of referrals but cannot be applied to your own orders, and we may withdraw a code that is being misused.
4a. Run subscriptions: term, cancellation and included hours
Minimum term. There is none. A Run plan may be cancelled at any time, either from your dashboard or by emailing hello@openx24.com. Cancellation takes effect at the end of the billing period you have already paid for, and there is no notice period and no exit fee in any circumstance. Local SEO Care is a monthly subscription on exactly these cancellation terms; it is not a Run plan and does not include the CRM or the AI assistant. Authority Building (Core and Growth) is also a monthly subscription on exactly these cancellation terms, and likewise not a Run plan: each month covers the approaches stated for your plan on the Pricing page (about 20 on Core, about 40 on Growth), reported with every link that lands. We cannot promise that any site will publish a link, so the approaches are what is delivered, never a number of links.
Included hours. Each Run plan includes a stated allowance of change-work hours per calendar month. Unused hours expire at the end of each calendar month and do not carry forward. Work requested beyond the included allowance is quoted and confirmed in writing before it begins, and is charged at the hourly rate published on the Pricing page.
Usage allowances. Each Run plan includes a stated number of AI chatbot replies each month and a stated number of stored CRM contacts. When a month's replies are used up, the assistant gives your visitors your contact details instead of an answer until the next month. When your stored enquiries reach your plan's number, the oldest are removed as new ones arrive; we email you at 80% and again at 100% so you can download them first. There are no overage charges: to have more, move to a higher plan at any time.
Cancellation. On cancellation, service continues to the end of the period already paid for. We will provide an export of your CRM data in a common format (CSV) on request, at no charge, for 60 days after cancellation.
4b. Your enquiry form's data (Lead Engine)
Who controls it. The enquiries your form receives are your customers' details, and you decide what happens to them. We store and pass them on for you, on your behalf, and for nothing else: to the email address you give us for enquiries, to a Telegram chat only if you connect one, and to a Google Sheet only if you ask us to connect one. They are stored encrypted with Vercel, our hosting and storage provider, and emailed through Resend.
What is stored. What a visitor types into your form, when they sent it, the page they sent it from, and a score worked out from their answers.
Export and deletion. Every enquiry email carries a link to download all your enquiries as a CSV, valid for 7 days; we will send you a fresh one whenever you ask, including for 60 days after your plan ends. Sixty days after your plan ends, your stored enquiries are deleted. If one of your customers asks for their enquiries to be deleted, send us their email address or phone number and we will delete every enquiry of theirs you hold with us.
5. Revisions
Each plan includes a set number of revision rounds as listed on the Pricing page. Additional revisions or scope beyond what was agreed will be quoted separately before any extra work begins.
6. Intellectual property and licence
What you own. Your content is yours: your branding, logos, copy, images, product data, customer records and any material you supply to us. You also own your Shopify store configuration where we have built one for you. Your data is yours at all times and we will export it to you on request (see clause 4a).
What we own. OpenX24 retains all intellectual property rights in its own software, including the CRM, the AI assistant, their source code, templates, prompts, data models, integrations and any improvements or derivative works, whether created before or during your engagement. Setup and customisation work does not transfer ownership of that software to you, and configuring it for your business does not create a work for hire.
Your licence. For as long as your subscription is active and paid, we grant you a non-exclusive, non-transferable, non-sublicensable licence to use the OpenX24 software as installed and configured for your business, for your own internal business purposes. You may not copy, resell, sublicense, distribute, reverse-engineer or attempt to extract the source code, nor use it to build a competing product.
When the subscription ends. The licence ends when your subscription ends. We will export your data to a common format (CSV) free of charge on request for 60 days afterwards, and you keep everything listed under "What you own" above. Access to the software itself stops.
Bespoke work. Where you pay separately for custom development, you receive the same licence to use it. If you require ownership or an exclusivity period on custom work, that must be agreed in writing and priced separately before the work begins.
Third-party components. Shopify, hosting providers, AI model providers, apps and themes remain subject to their own licences. They are not owned by OpenX24 and are not transferred to you beyond your right to use them as configured.
7. No guarantee of results
OpenX24 builds and configures the store, chatbot, or CRM as specified in your plan. We do not guarantee sales, traffic, conversion rates, or any specific business outcome, as these depend on factors outside our control (your product, market, advertising, pricing, and operations).
8. Cancellations and refunds
Cancellations and refunds are governed by our separate Refund Policy, which forms part of these Terms.
9. Limitation of liability
To the maximum extent permitted by law, OpenX24's total liability for any claim arising from these Terms or the services provided is limited to the amount paid by you for the specific service giving rise to the claim. OpenX24 is not liable for indirect, incidental, or consequential damages, including lost profits or lost sales.
10. Termination
Either party may terminate an ongoing engagement with written notice. Fees for work already completed are non-refundable per our Refund Policy.
11. Governing law
We contract with businesses only (clause 1a). These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of Wyoming, USA.
12. Changes to these Terms
We may update these Terms from time to time. Continued use of our site or services after an update constitutes acceptance of the revised Terms.
